Terms and Conditions

The first year of Registered Agent service is included if your corporation, LLC or non-profit is formed through AMC Legal, P.C. (Firm).
Client must sign and return the Registered Agent agreement to the Firm. A copy of the agreement is available beforehand upon request.
All correspondence will either be faxed or emailed to the client in a timely manner and will be followed up with a hard copy mailed to the address the Firm has on file for the client.
It is the client's responsibility to keep all contact information including phone number, fax number, email address and mailing address current with the Firm.
Client agrees to reimburse the Firm for any postage, mail or courier fees for forwarding correspondence totaling more than $5 in any 12 month period.
Should the client fail to keep the contact information current, the client shall indemnify the Firm for any charges incurred caused by such failure.
All of these terms will be spelled out in the Registered Agent agreement which will be provided to the client.

The Corporate Counsel Club (CCC) is renewable each year at the beginning of the term by paying the current CCC fee at the time of renewal.
Club membership may be terminated by either party with 30 days written notice delivered to the other party. A prorated refund will be issued minus any expenses or fees incurred by the Firm.
The CCC fee does NOT include: franchise or other state fees unless specifically stated in the agreement, late fees, penalties or mailing/postage fees over $5 per year.
The Firm is not acting as legal representative of the client.

The legal questions must be related to your business. There are many types of law that overlap with the running of a business. Employment law, Workers Compensation law, Intellectual Property, Estates and Trusts and Real Estate to name a few. AMC Legal will try to answer all of your questions, however, some questions may require that you speak to an attorney focusing on that type of law. In that instance, AMC Legal will try to refer you to an attorney in that area or provide you with the contact information of a lawyer finding service.
Annual Reports: AMC Legal will contact you in order to obtain the information to file your annual report on your behalf. It is very important that you keep your contact information current with the Firm. AMC Legal will not be liable for late fees or penalties due to not having your information current.
Annual Minutes: AMC Legal will forward you a worksheet to provide the necessary information to prepare your annual minutes.

Preparation of Tax Returns
Specific Tax Advise: if you have specific tax questions relating to your business you should contact an accountant or CPA experienced in the Corporate tax field.
The preparation of contracts is not included in any CCC packages.
