Businesses are finally starting to reopen! The Covid virus has certainly tested the resilience of many businesses.  I want to make sure your business is as strong as ever.

If you have a service business with face to face contact with clients you need to have a Covid liability waiver.  Even when taking all appropriate precautions this virus is persistent and can still spread.  Make sure your clients waive all liability for your business when then walk through your door.

Then, take those contracts out of your drawer or open them on your computer and read it. Yes, read it.  (If you don’t have a service or sales agreement for your clients, you need one!)  Then ask yourself, am I protected in case of breach of contract due to Covid-19 or any other pandemic, or act of god that may come our way.

If you have a well written contract it will include what’s called a “force majeure” clause. This clause covers unforeseen circumstances that would prevent one (or both) parties to a contract from fulfilling its promises.  Typically a force majeure class will cover acts of god (like fire, major weather disasters and the like), strikes, or war.  This excuses the non-performing party from breaching the contract since it was out of their control. 

If your contract has the force majeure clause, would you be excused from performing due to an epidemic or pandemic?  Would the party you’re contracting with be excused?  Now is the time to think this through and make sure you make any updates needed in these unprecedented times.
